1. INTRODUCTION AND ACCEPTANCE OF TERMS

Welcome to Reepeet.

Reepeet is an AI-powered music learning, performance assessment, and skill-based competition platform designed to help musicians develop their abilities, practise musical techniques, evaluate their performances, connect with other musicians, and participate in structured musical challenges.

These Terms of Service (“Terms”) govern your access to and use of Reepeet's websites, applications, software, learning tools, AI-powered assessment systems, competitions, subscription services, and related features (collectively, the “Platform”).

The Platform is operated by Reepeet Nigeria Limited, referred to in these Terms as “Reepeet”, “we”, “us”, or “our”.

By registering an account, accessing the Platform, purchasing a subscription, or using any Reepeet service, you agree to be bound by these Terms and the applicable policies incorporated by reference.

If you do not agree to these Terms, you must not use the Platform.

Where a user is a minor, a parent or legal guardian must provide any consent required by applicable law and these Terms.

2. DESCRIPTION OF SERVICES

Reepeet provides digital services designed to support music learning, skill development, performance assessment, and musical engagement.

Our services may include:

• a. AI-Powered Music Learning: Interactive tools that allow users to practise musical skills and receive automated feedback on their performances.
• b. Call-and-Response Challenges: Musical exercises in which users listen to or observe a musical phrase and reproduce or respond to it using an instrument or voice.
• c. Performance Assessment: AI-assisted evaluation of musical characteristics such as pitch, rhythm, timing, accuracy, tone, expression, and other applicable performance criteria.
• d. Musical Skill Competitions: Structured competitions in which eligible participants demonstrate musical ability and are ranked according to established performance criteria.
• e. Music Education and Practice: Learning exercises, guided practice, performance tracking, and other educational resources.
• f. Teacher and Student Services: Where available, features enabling music teachers and learners to connect, organise lessons, manage learning activities, and access related services.
• g. Community and Engagement Features: Where available, profiles, rankings, leaderboards, challenges, and opportunities for musical interaction.
• h. Subscription Services: Free and paid access plans offering different features, usage allowances, and benefits.

Reepeet may introduce, improve, modify, suspend, or discontinue features as the Platform evolves, subject to applicable law and any commitments already made to users.

The availability of particular services may depend on a user's subscription, location, age, device, or eligibility.

3. USER ELIGIBILITY AND AGE REQUIREMENTS

3.1 General Platform Access

Reepeet is designed to support music learning and skill development across different age groups.

Users of different ages may access age-appropriate learning and practice features, subject to applicable laws, parental consent requirements, and Platform restrictions.

3.2 Minors

Users under 18 years of age may use eligible learning and practice features only with the consent or authorisation of a parent or legal guardian where required.

Parents and guardians are responsible for supervising minors' use of the Platform and reviewing the features, subscriptions, and interactions available to them.

Reepeet may require age verification, parental consent, or other reasonable safeguards before allowing minors to access particular services.

Reepeet reserves the right to restrict features that are unsuitable for minors.

3.3 Cash-Prize Competitions

Participation in any Reepeet competition offering cash prizes is strictly limited to individuals aged 18 years and above.

Users under 18 may not participate in cash-prize competitions, even with parental or guardian consent.

Reepeet may require participants to verify their age and identity before entering a competition or receiving a prize.

Providing false age information, using another person's identity, or attempting to circumvent eligibility restrictions may result in disqualification, suspension, or termination of an account.

3.4 Additional Eligibility Requirements

Certain services or competitions may be restricted based on geographical location, applicable regulations, verification requirements, or other conditions published by Reepeet.

4. ACCOUNT REGISTRATION AND SECURITY

Users may be required to create an account to access certain Platform features.

When registering, users agree to:

• a. Provide accurate, complete, and current information.
• b. Maintain the confidentiality of their account credentials.
• c. Keep their account information reasonably up to date.
• d. Refrain from impersonating another individual or organisation.
• e. Avoid creating multiple accounts to manipulate competitions, rankings, subscriptions, or other Platform activities.
• f. Notify Reepeet promptly of any suspected unauthorised account access.

Users are responsible for activities conducted through their accounts to the extent permitted by applicable law.

Reepeet may implement additional authentication, identity verification, or security measures where necessary.

We reserve the right to suspend or restrict accounts reasonably suspected of fraud, abuse, unauthorised access, or violations of these Terms.

5. SUBSCRIPTIONS AND PAID SERVICES

Reepeet may offer free and paid subscription plans providing access to different Platform features and benefits.

5.1 Subscription Plans

The features, pricing, duration, usage limits, and benefits associated with each subscription shall be displayed on the Platform at the time of purchase.

Paid subscriptions may provide access to additional learning resources, practice tools, assessment features, competitions, or other benefits.

5.2 Subscription Payments

By purchasing a subscription, users authorise Reepeet or its designated payment service provider to process the applicable charges.

Users are responsible for providing valid payment information and ensuring that payment methods are authorised for use.

5.3 Recurring Billing

Where a subscription is offered on an automatically renewing basis, its renewal frequency, charges, and cancellation conditions shall be disclosed before purchase.

Recurring charges will be processed only in accordance with the billing arrangement accepted by the user.

5.4 Cancellation and Refunds

Users may cancel subscriptions in accordance with the cancellation procedure applicable to their plan.

Cancellation does not automatically entitle a user to a refund for services already supplied, except where required by law or provided under Reepeet's published refund terms.

Refund eligibility, billing disputes, failed payments, and subscription changes are governed by the Subscription, Billing and Refund Policy.

5.5 Changes to Pricing

Reepeet may revise subscription prices or plan features.

Where required, users will receive advance notice of material changes affecting existing subscriptions.

Reepeet shall not impose new recurring charges without the disclosures or authorisations required by applicable law.

6. SKILL-BASED COMPETITIONS

Reepeet may organise musical skill competitions that allow eligible participants to demonstrate their abilities and compete for recognition, rankings, awards, or cash prizes.

6.1 Nature of Competitions

Reepeet's musical competitions are intended to evaluate demonstrated musical skills through structured performance challenges.

Competition results may be determined using AI-assisted assessment of musical characteristics, including pitch, rhythm, timing, accuracy, and other disclosed criteria relevant to the competition.

Reepeet does not intend these competitions to operate as betting, wagering, or games of chance.

However, competitions will be offered only where permitted under applicable law and subject to any necessary regulatory approvals.

6.2 Competition Access

Access to competitions may be included as a feature of eligible Reepeet subscription plans.

Subscription payments are made for access to the Platform and its associated services.

Cash prizes offered by Reepeet are funded by the Company and are not intended to constitute pooled participant wagers.

The specific eligibility and entry conditions for each competition shall be disclosed before participation.

6.3 Age Restrictions

Only eligible users aged 18 years or older may participate in competitions offering cash prizes.

6.4 Competition Rules

Each competition may have specific rules governing:

• Eligibility and registration.
• Instrument or vocal category.
• Competition commencement and closing dates.
• Performance submission requirements.
• Permitted attempts.
• Assessment and scoring criteria.
• Rankings and tie-breaking procedures.
• Prize amounts and payment conditions.
• Disqualification and appeals.

Participants must comply with the published rules applicable to each competition.

6.5 Cash Prizes

Cash prizes shall be awarded to eligible winners in accordance with the applicable competition rules.

Reepeet may require identity verification, age verification, payment details, and other lawful checks before releasing a prize.

Prize payment timelines and conditions shall be disclosed in the applicable competition rules.

Reepeet shall not arbitrarily withhold a validly earned prize.

6.6 Competition Integrity

Participants must not engage in cheating, identity fraud, score manipulation, unauthorised automation, or other conduct intended to obtain an unfair advantage.

Reepeet may investigate suspected violations and take proportionate action, including disqualification, score invalidation, or account suspension.

6.7 Regulatory Compliance

Reepeet reserves the right to restrict, postpone, or suspend competitions where required to comply with applicable laws, regulatory instructions, or safety and integrity requirements.

Where a competition is cancelled or materially changed, Reepeet shall communicate the consequences to affected participants and provide any remedies required by applicable law.

All competitions are additionally governed by Reepeet's Competition Rules and Prize Policy.

7. AI-POWERED ASSESSMENT AND PERFORMANCE SCORING

Reepeet uses artificial intelligence and related technologies to analyse musical performances and provide scores, feedback, and assessments.

7.1 Automated Assessment

AI-generated assessments may consider pitch, rhythm, timing, accuracy, tone, expression, and other relevant musical characteristics.

The criteria and their relative importance may vary depending on the instrument, challenge, or competition.

7.2 Limitations of AI Assessment

Users acknowledge that automated assessment systems may occasionally produce inaccurate or inconsistent results due to factors including:

• a. Audio recording quality.
• b. Background noise or environmental interference.
• c. Microphone or device limitations.
• d. Network or processing interruptions.
• e. Differences in musical interpretation.
• f. Technical or algorithmic limitations.

Reepeet will take reasonable measures to maintain the accuracy, consistency, and integrity of its assessment systems.

7.3 Competition Scoring

Where AI assessment determines competition results, Reepeet shall apply the published scoring rules and maintain appropriate procedures for reviewing material scoring disputes.

Reepeet may correct verified technical or scoring errors where justified, subject to the applicable competition rules and fair treatment of affected participants.

7.4 No Guarantee of Musical Outcomes

AI-generated feedback is intended to support learning and performance evaluation.

Reepeet does not guarantee that use of the Platform will result in professional musical proficiency, particular educational achievements, competition success, or cash-prize winnings.

8. ACCEPTABLE USE AND USER CONDUCT

Users agree to use Reepeet lawfully, responsibly, and respectfully.

The following activities are prohibited:

• a. Using the Platform for fraudulent, unlawful, or deceptive purposes.
• b. Harassing, threatening, bullying, or discriminating against other users.
• c. Uploading harmful, abusive, obscene, or otherwise unlawful content.
• d. Manipulating competition results, rankings, or scoring systems.
• e. Using bots, scripts, unauthorised automation, or technical exploits to obtain an unfair competitive advantage.
• f. Submitting another person's performance as one's own.
• g. Uploading manipulated, artificially generated, or pre-recorded performances where the applicable challenge rules require an authentic live performance.
• h. Attempting to gain unauthorised access to Platform systems, accounts, or confidential information.
• i. Distributing malicious software or interfering with Platform operations.
• j. Infringing intellectual property, privacy, or other legal rights.
• k. Circumventing subscription restrictions, identity verification, or competition eligibility requirements.

Violations may result in content removal, score invalidation, disqualification, account restrictions, suspension, or termination.

Enforcement shall be proportionate to the nature and seriousness of the violation, subject to applicable law.

9. USER-GENERATED CONTENT

Users may create, record, upload, or submit musical performances, audio recordings, videos, images, comments, and other content through the Platform.

9.1 Ownership

Users retain ownership of the original content they lawfully create and upload, subject to any rights held by third parties.

9.2 Licence to Reepeet

By submitting content, users grant Reepeet a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, analyse, transmit, and display that content to the extent reasonably necessary to operate and provide the Platform's services.

This includes processing performances for AI assessment, administering competitions, generating scores, displaying authorised rankings, and providing learning feedback.

The licence continues for as long as reasonably necessary to provide the relevant services and meet legitimate legal or operational obligations.

9.3 Promotional Use

Reepeet shall obtain any additional permissions required before using a user's identifiable performance, image, voice, or likeness in external advertising or promotional campaigns beyond uses reasonably necessary for the service or expressly disclosed and authorised competition publicity.

9.4 User Responsibilities

Users represent that they own or possess the necessary rights and permissions for content they submit.

Users must not upload content that unlawfully infringes another person's copyright, privacy, publicity, or other rights.

9.5 Content Removal

Reepeet may remove or restrict access to content that violates these Terms, applicable laws, or the rights of others.

Users may request deletion of eligible content in accordance with Reepeet's Privacy Policy and applicable law.

10. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise stated, Reepeet and its licensors retain all applicable rights in the Platform, including:

• a. Software, source code, and underlying technology.
• b. AI assessment systems, algorithms, and proprietary scoring methods.
• c. Brand names, trademarks, logos, and visual identities.
• d. Original learning materials and musical exercises.
• e. Platform interfaces, graphics, and design elements.
• f. Proprietary content, databases, and other protected materials.

Users receive a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purposes, subject to these Terms and applicable law.

Users shall not copy, sell, distribute, reverse-engineer, or commercially exploit Reepeet's proprietary technology or materials except where authorised or permitted by law.

Reepeet respects third-party intellectual property rights and provides procedures for reporting alleged infringement.

11. PRIVACY AND DATA PROTECTION

Reepeet processes personal information in accordance with applicable data protection laws, including the Nigeria Data Protection Act 2023.

Information processed may include:

• a. Names, email addresses, and account information.
• b. Age or date-of-birth information required for eligibility.
• c. Musical performance recordings and assessment results.
• d. Subscription and transaction records.
• e. Device, browser, and technical information.
• f. User activity and learning progress.
• g. Identity verification information where legally necessary.

Reepeet may use authorised third-party service providers to support hosting, payments, analytics, AI processing, and other Platform functions.

Where required, appropriate safeguards shall be implemented for personal data transfers, storage, and processing.

Users have rights concerning their personal information as provided by applicable law.

12. PLATFORM AVAILABILITY AND TECHNICAL REQUIREMENTS

Reepeet aims to provide reliable access to its services but does not guarantee uninterrupted or error-free operation.

Platform performance may depend on:

• a. Internet connectivity.
• b. Device compatibility.
• c. Microphone and audio quality.
• d. Browser or operating system support.
• e. Server availability and maintenance.
• f. Third-party service providers.

Reepeet may conduct maintenance, updates, and security improvements that temporarily affect service availability.

Where reasonably practicable, advance notice shall be provided for planned disruptions that materially affect users.

Users are responsible for maintaining suitable devices, internet access, and recording equipment for their intended use.

Where a technical failure materially affects a competition, Reepeet may apply the remedies specified in the applicable competition rules.

13. THIRD-PARTY SERVICES

The Platform may integrate with third-party providers for payment processing, cloud hosting, AI processing, analytics, communications, and other functions.

Users may be subject to additional terms imposed by those providers where relevant.

Reepeet is not responsible for independent third-party services beyond the extent required by applicable law or its contractual obligations.

The inclusion of third-party integrations does not constitute an unrestricted endorsement of their products or services.

14. ACCOUNT SUSPENSION AND TERMINATION

Reepeet may suspend, restrict, or terminate a user's account where there are reasonable grounds involving:

• a. Material violations of these Terms.
• b. Fraudulent activity or identity misrepresentation.
• c. Competition cheating or manipulation.
• d. Unauthorised access or security threats.
• e. Repeated infringement of intellectual property rights.
• f. Conduct that threatens the safety or rights of other users.
• g. Applicable legal or regulatory requirements.

Where appropriate, Reepeet may provide notice and an opportunity to respond before imposing permanent account termination.

Immediate action may be taken where necessary to prevent serious harm, fraud, or security risks.

Users may request account closure through the designated account management or support channels.

Termination does not automatically extinguish valid outstanding payment obligations, accrued consumer rights, or legally required records.

15. DISCLAIMERS

Reepeet provides digital music learning, performance assessment, and related services.

While reasonable efforts are made to maintain service quality, the Platform is provided subject to the limitations inherent in digital technology, automated assessment, and internet-based services.

Reepeet does not guarantee:

• a. Continuous or uninterrupted access.
• b. Perfect accuracy of AI-generated feedback.
• c. Particular musical learning outcomes.
• d. Success in competitions.
• e. Receipt of cash prizes by users who have not satisfied the applicable competition requirements.

Nothing in these Terms excludes any guarantee, remedy, or consumer protection that cannot lawfully be excluded.

16. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Reepeet shall not be liable for indirect or consequential losses arising from use of the Platform where such liability may lawfully be excluded.

Reepeet shall not be responsible for losses caused solely by circumstances outside its reasonable control, provided it has complied with its applicable legal and contractual obligations.

Nothing in these Terms shall exclude or limit liability for fraud, wilful misconduct, or any liability that cannot lawfully be excluded.

These provisions shall not prevent users from exercising statutory consumer rights or recovering validly owed prizes, refunds, or other legally enforceable payments.

17. USER RESPONSIBILITY AND INDEMNIFICATION

Users agree to be responsible for losses, claims, or liabilities arising from their unlawful conduct, intentional misuse of the Platform, or material infringement of third-party rights.

Where legally permissible, users agree to indemnify Reepeet against reasonable third-party claims directly resulting from such conduct.

This provision shall not apply to losses caused by Reepeet's own negligence, misconduct, or breach of applicable law.

18. CHANGES TO THE PLATFORM AND TERMS

Reepeet may update these Terms to reflect changes in:

• a. Platform features and services.
• b. Applicable laws or regulatory requirements.
• c. Subscription arrangements.
• d. Security or operational practices.
• e. Competition administration.
• f. Business operations.

Where changes materially affect users' rights or obligations, Reepeet shall provide reasonable advance notice and obtain renewed acceptance where required.

The latest version of these Terms shall be published on the Platform with an updated effective date.

Changes shall not retroactively remove accrued rights or obligations contrary to applicable law.

19. COMPLAINTS AND DISPUTE RESOLUTION

Users may submit complaints concerning accounts, subscriptions, payments, AI assessments, competition results, content, or other Platform activities through Reepeet's designated support channels.

Reepeet shall provide a reasonable process for reviewing and responding to complaints.

Competition-related appeals shall follow the procedures and deadlines established in the Competition Rules and Prize Policy.

Where a dispute cannot be resolved internally, the Parties may pursue mediation, applicable regulatory complaint procedures, or other lawful dispute resolution mechanisms.

Nothing in these Terms prevents users from exercising rights to approach a competent regulator or court where permitted by law.

20. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.

Any legal proceedings arising from these Terms shall be brought before a court of competent jurisdiction, subject to applicable consumer protection laws and mandatory jurisdictional requirements.

21. SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision shall be interpreted or limited to the extent legally permissible.

The remaining provisions shall continue in full force and effect.

22. NO WAIVER

Failure by Reepeet to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision subsequently.

Any waiver must be expressly communicated by an authorised representative of Reepeet.

25. ACKNOWLEDGEMENT AND ACCEPTANCE

By accessing, registering for, subscribing to, or using Reepeet, you acknowledge that you have read, understood, and agreed to these Terms of Service and the applicable related policies.

Where required, parents or legal guardians must provide appropriate authorisation for minors to use the Platform.

Users under 18 years of age are not permitted to participate in cash-prize competitions under any circumstances.
