1. INTRODUCTION
Reepeet Nigeria Limited (“Reepeet”, “we”, “us”, or “our”) respects the intellectual property rights of musicians, composers, performers, music publishers, record labels, educators, creators, and other rights holders.
Reepeet operates an AI-powered music learning, performance assessment, and skill-based competition platform that enables users to develop musical abilities, practise musical exercises, submit performances, receive automated feedback, and participate in eligible competitions.
This Copyright & Intellectual Property Policy (“Policy”) explains the ownership, permitted use, licensing, protection, and enforcement of intellectual property rights associated with the Reepeet Platform.
It also establishes procedures for reporting alleged copyright infringement and requesting the removal or restoration of content.
This Policy forms part of Reepeet's Terms of Service and applies to all users, including learners, musicians, teachers, competition participants, organisations, and other content contributors.
2. APPLICABLE INTELLECTUAL PROPERTY LAWS
This Policy shall be interpreted in accordance with applicable laws of the Federal Republic of Nigeria, including the Copyright Act 2022, together with other relevant intellectual property, contractual, and data protection laws.
Copyright protection may apply to musical works, sound recordings, audiovisual works, literary materials, artistic works, and other eligible subject matter.
Separate rights may exist in a musical composition, its lyrics, a particular sound recording, and an individual performer's performance.
Users must respect these rights when creating, uploading, sharing, or using content through Reepeet.
Nothing in this Policy transfers ownership of intellectual property except where expressly agreed through a separate legally valid arrangement.
3. OWNERSHIP OF THE REEPEET PLATFORM
Unless otherwise stated, Reepeet or its licensors own or lawfully control the intellectual property rights in the Platform and its proprietary materials.
These may include:
- a. Reepeet's name, logos, trademarks, and brand identity.
- b. Website and application designs.
- c. Software, source code, and technical infrastructure.
- d. AI-powered musical assessment systems and proprietary scoring methods.
- e. Original educational materials, musical exercises, and instructional content.
- f. Platform graphics, illustrations, and audiovisual materials.
- g. Original databases, compilations, and other protected materials.
- h. Proprietary documentation and business materials.
Users receive only the limited rights necessary to access and use the Platform in accordance with the Terms of Service.
Access to Reepeet does not grant users ownership of its software, trademarks, proprietary assessment technology, or other protected materials.
4. LIMITED LICENCE TO USE REEPEET
Subject to compliance with the Terms of Service and applicable subscription conditions, Reepeet grants users a limited, non-exclusive, non-transferable, and revocable licence to access and use the Platform for its intended purposes.
This licence permits users to engage in authorised learning, practice, assessment, teaching, and competition activities.
Users must not, except where authorised or permitted by law:
- a. Reproduce or distribute proprietary Platform materials for unauthorised commercial purposes.
- b. Sell, sublicense, or commercially exploit Reepeet's software or content.
- c. Remove copyright notices, trademarks, or other ownership information.
- d. Copy or redistribute paid learning resources outside the Platform.
- e. Reverse-engineer or attempt to obtain protected source code in violation of applicable law.
- f. Use Reepeet's brand identity in a manner that falsely suggests sponsorship or endorsement.
- g. Create unauthorised derivative products using Reepeet's protected materials.
5. OWNERSHIP OF USER-GENERATED CONTENT
Users retain applicable ownership rights in original content they lawfully create and submit to Reepeet.
User-generated content may include:
- a. Original musical performances.
- b. Instrumental recordings.
- c. Vocal recordings.
- d. Original musical compositions.
- e. Original videos and audiovisual performances.
- f. Educational materials created by users.
- g. Comments, descriptions, and other original contributions.
Submitting content to Reepeet does not automatically transfer ownership of that content to the Company.
However, users may only grant rights that they lawfully possess.
Where a performance includes a third-party musical composition, backing track, sound recording, or other protected material, the rights of the relevant third-party owners remain unaffected.
6. LICENCE GRANTED TO REEPEET BY USERS
By uploading or submitting content, users grant Reepeet a non-exclusive, worldwide, royalty-free licence to use that content to the extent reasonably necessary to provide and administer the Platform's services.
This licence may permit Reepeet to:
- a. Receive and securely store submitted performances.
- b. Reproduce and process recordings for AI-powered assessment.
- c. Analyse musical characteristics and generate performance scores.
- d. Display performances to authorised users where the relevant feature permits.
- e. Administer musical competitions.
- f. Verify submissions and investigate suspected cheating.
- g. Maintain learning histories and performance records.
- h. Generate relevant technical copies, formats, or adaptations required for service delivery.
- i. Retain records where reasonably necessary for lawful operational, security, regulatory, or dispute resolution purposes.
This licence does not grant Reepeet unrestricted ownership of user content.
The licence remains effective for as long as reasonably necessary to provide the relevant services and fulfil lawful obligations.
Users may request deletion of eligible content in accordance with Reepeet's Privacy & Cookie Policy.
7. PROMOTIONAL AND COMMERCIAL USE OF USER CONTENT
Reepeet may wish to feature user performances, achievements, competition results, or testimonials in promotional materials.
Where additional permission is legally required, Reepeet shall obtain appropriate authorisation before using identifiable user content for external advertising or promotional campaigns beyond the purposes already disclosed and authorised.
Such uses may include:
- a. Social media advertisements.
- b. Promotional videos.
- c. Website marketing materials.
- d. Paid advertising campaigns.
- e. Publicity featuring individual performers.
- f. Commercial endorsements or testimonials.
Where necessary, Reepeet shall obtain separate permissions concerning the use of a person's name, image, voice, likeness, or performance.
For minors, any promotional use must comply with applicable child protection, consent, privacy, and intellectual property requirements.
8. MUSICAL COMPOSITIONS AND THIRD-PARTY MUSIC RIGHTS
Musical performances may involve several distinct intellectual property rights.
For example, performing a copyrighted song may involve rights in the underlying composition and lyrics, while using a commercial backing track may involve additional rights in a particular sound recording.
Users must not assume that purchasing a song, subscribing to a streaming service, or accessing a recording online automatically authorises its reproduction, public distribution, or commercial use through Reepeet.
Users are responsible for ensuring that their submitted content is lawful and that they possess the necessary rights or permissions for their intended use.
Reepeet may restrict the use of copyrighted songs, commercial recordings, backing tracks, or other materials where appropriate licences or legal permissions are unavailable.
Reepeet shall separately assess any music licensing obligations arising from its own provision, hosting, communication, or commercial use of protected musical content.
9. REEPEET-PROVIDED MUSICAL EXERCISES AND BACKING TRACKS
Reepeet may provide original or appropriately licensed musical exercises, reference melodies, rhythmic patterns, backing tracks, instructional recordings, and other learning resources.
These materials are made available solely for the purposes authorised by Reepeet.
Unless expressly permitted, users must not:
- a. Redistribute Reepeet's learning materials outside the Platform.
- b. Sell or commercially exploit provided backing tracks.
- c. Upload proprietary exercises to unrelated commercial services.
- d. Claim ownership of Reepeet-created musical content.
- e. Use protected materials beyond the scope of the applicable licence.
Where materials are provided under third-party licences, additional restrictions may apply.
10. AI-GENERATED CONTENT AND ASSESSMENT OUTPUTS
Reepeet may generate automated feedback, performance analysis, scores, recommendations, or other outputs using artificial intelligence.
10.1 AI Assessment Results
Performance scores and automated feedback are provided as part of Reepeet's services.
Users may view and use their assessment results for legitimate personal learning and other authorised purposes.
Ownership and protection of particular AI-generated outputs shall depend on applicable law and the nature of the material.
10.2 AI-Generated Musical Materials
Where Reepeet provides AI-generated musical exercises or instructional content, users may use those materials within the permissions expressly provided by the Platform.
Reepeet does not guarantee that every AI-generated output qualifies for copyright protection or is free from third-party rights.
10.3 AI Model Training
The submission of a musical performance does not automatically authorise unrestricted use of that recording for unrelated AI model training.
Where identifiable recordings are used for additional model-training purposes, Reepeet shall comply with applicable intellectual property, contractual, and data protection requirements, including obtaining additional consent or permissions where necessary.
10.4 Authenticity in Competitions
AI-generated or digitally manipulated musical performances must not be submitted as authentic human performances where prohibited by the applicable competition rules.
Violations may result in submission invalidation, disqualification, or other appropriate enforcement action.
11. TEACHER-CREATED AND EDUCATIONAL CONTENT
Teachers and educational professionals may create or upload lessons, exercises, instructional recordings, and other materials through Reepeet.
Unless otherwise agreed in writing, teachers retain applicable ownership rights in their original educational content.
By making content available through Reepeet, teachers grant the Platform the rights reasonably necessary to host, deliver, display, and administer the relevant teaching services.
Teachers must ensure that their materials do not unlawfully infringe third-party rights.
Any additional commercial licensing, revenue-sharing, or ownership arrangements shall be governed by the applicable teacher agreement or other written terms.
12. USER RESPONSIBILITY FOR UPLOADED CONTENT
Users represent that:
- a. They own or lawfully control the rights necessary to submit their content.
- b. Their submissions do not knowingly infringe third-party intellectual property rights.
- c. They have obtained necessary permissions from relevant contributors or rights holders.
- d. Their submissions comply with applicable laws and Reepeet's policies.
- e. They will not misrepresent another person's work as their own.
- f. They will cooperate with reasonable investigations concerning alleged infringement.
Users must not upload pirated recordings, unauthorised commercial backing tracks, or other unlawfully reproduced materials.
13. COPYRIGHT INFRINGEMENT COMPLAINTS
Reepeet respects the rights of copyright owners and provides a process for reporting alleged infringement.
A copyright owner or authorised representative who believes that content on Reepeet infringes their rights may submit a complaint to:
The complaint should include, where reasonably available:

- d. Temporarily restrict access to disputed content where appropriate.
- e. Remove or disable access to content where required or reasonably justified.
- f. Notify the affected user where appropriate and lawful.
- g. Apply additional measures against repeated or serious infringement.
Reepeet shall comply with applicable statutory notice-and-takedown requirements and lawful orders.
Content removal does not necessarily constitute a final legal determination of infringement.
15. COUNTER-NOTICES AND CONTENT RESTORATION
Users who believe their content was removed incorrectly may request a review.
A counter-notice or appeal should include:
- a. Identification of the removed content.
- b. The user's account information.
- c. An explanation of why the removal is disputed.
- d. Relevant evidence of ownership, permission, or another lawful basis for use.
- e. Any additional information required by applicable law.
Reepeet shall review the submission in accordance with applicable legal requirements.
Where appropriate and legally permitted, Reepeet may restore content following a successful review or the applicable statutory procedure.
Reepeet may decline restoration where a lawful restriction, court order, or unresolved legal obligation prevents it.
16. REPEAT INFRINGEMENT AND ACCOUNT ENFORCEMENT
Reepeet may take appropriate action against users who repeatedly or seriously infringe intellectual property rights.
Depending on the circumstances, enforcement may include:
- a. Issuing warnings.
- b. Removing infringing content.
- c. Restricting content upload privileges.
- d. Suspending accounts.
- e. Terminating accounts in appropriate cases.
- f. Complying with lawful regulatory or judicial directions.
Enforcement decisions shall take account of relevant evidence, applicable law, and the seriousness of the conduct.
Users may challenge enforcement decisions through Reepeet's complaints and appeals procedures.
17. TRADEMARKS AND BRAND USAGE
The Reepeet name, logos, branding, and other distinctive identifiers may be protected by applicable trademark and intellectual property laws.
Users must not use Reepeet's trademarks or branding in a manner that:

18. THIRD-PARTY INTELLECTUAL PROPERTY
The Platform may incorporate software, libraries, APIs, educational resources, or other materials owned by third parties.
Such materials remain subject to their applicable licences and ownership rights.
Nothing in this Policy grants users rights in third-party intellectual property beyond those lawfully provided.
Reepeet shall respect applicable open-source, commercial, and other licensing obligations relating to the technologies and materials it uses.
19. COPYRIGHT AND COMPETITION PARTICIPATION
Participation in Reepeet competitions does not transfer ownership of a participant's original musical performance to Reepeet.
However, participation authorises the processing and use of submitted performances to the extent necessary to administer the competition, including scoring, verification, rankings, dispute resolution, and lawful recordkeeping.
Participants must comply with any restrictions concerning copyrighted compositions, backing tracks, recordings, and other third-party materials.
A performance may be disqualified where its submission materially violates applicable intellectual property requirements or competition rules.
Any separate promotional use of a participant's identifiable performance shall be subject to applicable permissions and legal requirements.
20. DATA PROTECTION AND PERFORMANCE RECORDINGS
Musical recordings may contain personal data, including identifiable voices or images.
Reepeet shall process such information in accordance with its Privacy & Cookie Policy and applicable data protection laws.
Copyright ownership does not eliminate applicable privacy rights.
Similarly, a privacy deletion request does not automatically extinguish legitimate intellectual property rights or lawful recordkeeping obligations.
Requests concerning personal data may be submitted through Reepeet's official support channel.
21. MISUSE OF INTELLECTUAL PROPERTY COMPLAINT PROCEDURES
Users must not knowingly submit false, fraudulent, or malicious infringement complaints.
The complaint process must not be used to harass other users, suppress lawful content, or manipulate competition outcomes.
Reepeet may take appropriate action against deliberate misuse of its reporting systems, subject to applicable law.

Disputes concerning intellectual property rights shall be subject to applicable laws and the jurisdiction of a competent court.
Nothing in this Policy limits rights or remedies that cannot lawfully be excluded.
